CLIENT SERVICE TERMS

These Client Service Terms apply to services provided by Andrew Thomas May trading as Parallel Perspective, ABN 91 425 122 329 (“Parallel Perspective”, “we”, “us” or “our”).

By purchasing a service, accepting a proposal, commencing an engagement or otherwise agreeing to these terms, you (“you” or the “Client”) agree to be bound by them.

1. YOUR ENGAGEMENT

Parallel Perspective provides executive coaching, career support, executive partnership services, leadership development, facilitation, workshops, speaking, strategy and advisory services.

The specific scope, inclusions, duration, investment and payment arrangements for your engagement will be those shown at checkout, described in the relevant service offering, or agreed in a written proposal, statement of work or other written confirmation.

Where additional terms are provided for a particular corporate or bespoke engagement, those terms form part of your agreement with Parallel Perspective.

If there is any inconsistency, the specific written terms for that engagement will apply to the extent of the inconsistency.

2. THE NATURE OF COACHING

Coaching is a collaborative process designed to support reflection, learning, decision-making, development and action.

Andrew may provide challenge, perspective, tools, frameworks, mentoring and practical experience where appropriate.

You remain responsible for your own decisions, actions, choices and results.

Coaching is not medical or psychological treatment, legal advice, financial advice or a substitute for another appropriately qualified professional.

If an issue arises that falls outside the reasonable scope of coaching, Parallel Perspective may recommend that you seek appropriate specialist support.

3. FEES, GST AND PAYMENT

All prices are in Australian dollars.

Prices may be communicated excluding GST, including GST, or both. Where GST applies, it will be charged at the applicable rate and the amount payable will be shown at checkout, on an invoice or in the relevant proposal.

Payments may be processed through Acuity Scheduling and Stripe, or by invoice or another method agreed with Parallel Perspective.

Unless otherwise agreed, payment is required before the relevant service or engagement commences.

Where a payment plan or recurring payment arrangement is selected, you authorise the nominated payment method to be charged automatically according to the amount, frequency and schedule shown at checkout or otherwise agreed in writing.

Payment-plan instalments relate to the overall engagement and are not payments for individual coaching sessions unless expressly stated otherwise.

The total investment under a payment plan may be higher than the equivalent pay-in-full investment. Any difference will be clearly shown before purchase.

4. FAILED OR OVERDUE PAYMENTS

If an automatic payment fails or an invoice becomes overdue, you remain responsible for the amount due.

Payment providers may automatically retry unsuccessful payments.

Parallel Perspective may pause future bookings, between-session support, access to services or other work while an amount remains overdue.

Existing bookings and the circumstances surrounding any payment issue will be dealt with reasonably.

Pausing services because of an overdue payment does not automatically extend the engagement period or remove an existing payment obligation.

5. COACHING SESSIONS AND ENGAGEMENT PERIODS

The intended duration of each coaching engagement is part of the service itself.

Unless otherwise agreed:

Single Coaching Session

One 60-minute coaching session.

Career Moments

Four 60-minute coaching sessions designed to be used across approximately three months.

Six-Month Executive Coaching

Six 60-minute coaching sessions designed to be used within six months.

Twelve-Month Executive Coaching

Ten 60-minute coaching sessions designed to be used within twelve months.

For multi-session engagements, the engagement period ordinarily begins on the date of the first coaching session, rather than the date of purchase.

Sessions should be scheduled and used within the advertised engagement period.

Parallel Perspective recognises that work, health, travel, family circumstances and significant life or career events can affect scheduling. Where circumstances reasonably warrant it, additional time may be agreed at our discretion.

Reasonable flexibility does not create an automatic entitlement to an extension or change the intended duration of the original engagement.

Unused sessions ordinarily expire at the end of the engagement period, including any extension agreed by Parallel Perspective.

6. PACKAGE CREDITS

Where Acuity Scheduling or another booking platform displays appointment credits, those credits represent the sessions available under the selected engagement.

Credits are redeemed as eligible sessions are booked or completed in accordance with the booking system.

Coaching packages are intended for the individual Client for whom they were purchased and are not transferable or shareable without prior agreement from Parallel Perspective.

A booking platform may apply technical expiry periods or display balances for administrative purposes. The substantive entitlement remains governed by the selected offering and these Client Service Terms.

7. TWELVE-MONTH COACHING PAYMENT OPTIONS

Where a six-monthly payment option is selected for Twelve-Month Executive Coaching, the Client enters one twelve-month coaching engagement.

The amount of each payment, the total investment and the timing of payments are those displayed at checkout at the time of purchase.

The first payment is charged at commencement of the payment arrangement and the second payment is automatically charged approximately six months later.

The second payment remains due regardless of the number of coaching sessions used by that date.

The payment arrangement does not create a second coaching package or an additional allocation of sessions.

All ten coaching sessions form part of the one twelve-month engagement.

8. EXECUTIVE PARTNERSHIP

Executive Partnership is an ongoing, high-touch engagement combining coaching, mentoring, strategic perspective and responsive support.

The engagement includes two 60-minute coaching, mentoring or strategic sessions per monthly billing cycle, together with the additional access and support described in the relevant offering.

Executive Partnership has a minimum initial commitment of six months.

Following the initial six-month commitment, the engagement continues month-to-month until ended in accordance with these terms.

Monthly payments are charged automatically at the investment displayed at checkout or otherwise agreed in writing.

After the initial six-month commitment, either party may end the Executive Partnership by providing one month’s written notice.

Notice given during the initial six-month commitment does not remove payment obligations for the remainder of that minimum commitment unless Parallel Perspective agrees otherwise or applicable law provides otherwise.

9. EXECUTIVE PARTNERSHIP SESSION ROLLOVER

Executive Partnership provides two session credits for each monthly billing cycle.

Unused sessions may roll forward for one additional monthly billing cycle only.

A maximum of four Executive Partnership session credits may be available at any one time.

Sessions do not accumulate indefinitely.

A session that has not been used within the permitted rollover period expires unless otherwise agreed by Parallel Perspective.

Where necessary, the booking system balance may be adjusted to reflect this entitlement.

When an Executive Partnership ends, any valid rolled-over sessions must be used within the final paid engagement and notice period unless otherwise agreed.

They do not create an ongoing entitlement to coaching after the engagement has ended.

10. RESCHEDULING AND MISSED COACHING SESSIONS

Coaching sessions may be rescheduled with at least 24 hours’ notice.

A session cancelled, rescheduled or missed with less than 24 hours’ notice may be counted as used or charged at the applicable rate.

Parallel Perspective may exercise reasonable discretion where exceptional circumstances arise.

If Andrew needs to reschedule a session, an alternative time will be offered as soon as reasonably practicable and the session will not be treated as used.

11. CORPORATE, TEAM AND BESPOKE ENGAGEMENTS

Corporate services may include workshops, facilitation, leadership team coaching, speaking, advisory work, strategy support and other customised services.

The scope, deliverables, timing, fees, payment schedule, participant numbers, location, travel requirements and any engagement-specific cancellation or rescheduling arrangements may be set out in a proposal, statement of work or other written agreement.

Any reasonable third-party expenses, travel costs, venue costs, production costs or other committed expenditure agreed as part of the engagement may remain payable if an engagement is cancelled or changed.

Where an agreed date needs to change, both parties will act reasonably to identify an alternative.

Additional engagement-specific terms may be required for particular corporate assignments.

12. BETWEEN-SESSION AND RESPONSIVE SUPPORT

The level of contact available between scheduled sessions depends on the selected engagement.

Brief check-ins, email contact, voice notes or other between-session support are intended to support reflection, decision-making and momentum.

They do not provide emergency, crisis, continuous or unrestricted access.

Executive Partnership provides priority and more responsive access than standard coaching engagements, but does not guarantee immediate availability at all times.

Parallel Perspective will respond within a reasonable timeframe having regard to the nature and urgency of the matter, ordinary working periods and existing commitments.

13. CONFIDENTIALITY

Information shared during coaching is treated as confidential.

Parallel Perspective will not disclose the substance of coaching conversations without your permission except:

  • where disclosure is required by law

  • where there is a serious and imminent risk of harm

  • where necessary to obtain confidential professional supervision or professional advice, with identifying information minimised where reasonably practical

  • where you have agreed that particular information may be shared with a sponsoring organisation or another person

  • where disclosure is otherwise authorised or required under these terms or the Privacy Policy.

Confidentiality obligations continue after the engagement ends.

14. ORGANISATION-SPONSORED COACHING

Where an organisation funds or sponsors coaching, the engagement may involve agreed objectives or broad measures of progress.

The sponsoring organisation may receive information such as confirmation of participation or attendance, agreed engagement objectives or high-level progress information where this has been agreed.

The substance of individual coaching conversations remains confidential unless the Client provides clear consent for particular information to be shared or disclosure is otherwise legally required.

Any sponsor reporting arrangements will be discussed and agreed before information is shared.

15. PRIVACY AND RECORDKEEPING

Parallel Perspective may collect and retain information reasonably required to provide and administer its services, including:

  • contact and identification information

  • intake information

  • appointment and session records

  • coaching notes

  • correspondence

  • agreed actions and outputs

  • organisation or sponsor information

  • payment and transaction information

  • information relevant to the delivery of a corporate engagement.

Information is stored using reasonable technical and organisational safeguards and retained only for as long as reasonably required for service delivery, administration, professional obligations, insurance, dispute management or legal compliance.

Personal information is handled in accordance with the Parallel Perspective Privacy Policy.

16. RESPONSIBLE USE OF ARTIFICIAL INTELLIGENCE

Parallel Perspective may use artificial intelligence tools to support activities including:

  • preparation for coaching sessions

  • organising or refining coaching notes

  • drafting summaries, reflections and agreed action points

  • identifying themes, patterns or useful questions

  • developing tailored resources and outputs

  • administrative activities connected with an engagement.

AI may support the work but does not replace Andrew’s professional judgement.

Reasonable steps will be taken to minimise unnecessary personal, identifying or sensitive information, use tools and settings appropriate to confidential professional work, limit unnecessary access and review AI-generated outputs before they are relied upon or shared.

Sessions will not be recorded or transcribed using AI or other technology without your knowledge and specific consent.

You may request that AI-supported processing not be used for your coaching information.

This will not affect your ability to access coaching, although some summaries or outputs may instead be prepared manually or in another form.

17. RECORDING AND TRANSCRIPTION

Where recording or transcription of a session is proposed, this will be discussed separately.

Recording or transcription will only proceed with the Client’s specific prior consent.

Consent may be withdrawn before recording begins.

18. INTELLECTUAL PROPERTY

Parallel Perspective retains ownership of its pre-existing and independently developed frameworks, methodologies, tools, templates, exercises, presentations and original materials.

Unless otherwise agreed, materials provided to a Client may be used for the Client’s own personal development or internal organisational purposes.

They may not be reproduced for commercial distribution, published, sold, licensed or provided to third parties as standalone materials without written permission.

The Client retains ownership of materials they provide to Parallel Perspective and of their own ideas, decisions, business information and work.

For bespoke corporate engagements, any different intellectual property arrangements may be specified in the relevant proposal or statement of work.

19. CLIENT RESPONSIBILITIES AND CONDUCT

You agree to participate in the engagement in good faith and to provide information that is reasonably accurate and relevant to the work.

You remain responsible for your own decisions, conduct, implementation and outcomes.

Parallel Perspective expects respectful and professional behaviour in all interactions.

Abusive, threatening, discriminatory, unsafe or seriously inappropriate conduct may result in an engagement being suspended or ended.

20. RESULTS AND RESPONSIBILITY

Coaching, facilitation and advisory outcomes depend on many factors, including participation, implementation, circumstances and decisions outside Parallel Perspective’s control.

Parallel Perspective does not guarantee a particular personal, career, leadership, commercial, employment or financial outcome.

Advice, perspectives and frameworks should be considered in the context of your own circumstances and responsibilities.

21. ENDING AN ENGAGEMENT

Either party may raise concerns about the engagement and request a discussion about whether it should continue.

A Client choosing not to continue does not automatically remove existing payment obligations, including committed payment-plan instalments or an agreed minimum commitment.

Parallel Perspective may suspend or end an engagement where:

  • continuing is no longer professionally appropriate

  • the work falls materially outside the scope of the engagement or Andrew’s professional competence

  • there has been a serious breakdown in the working relationship

  • the Client engages in abusive, threatening, unsafe or seriously inappropriate conduct

  • material payment obligations remain unresolved

  • another serious circumstance makes continuation unreasonable.

Where Parallel Perspective ends a prepaid engagement for reasons unrelated to a Client’s breach, misconduct or unpaid amounts, unused prepaid services will be refunded, credited or otherwise dealt with reasonably on a pro-rata basis, subject to applicable law.

22. REFUNDS, CHANGE OF MIND AND UNUSED SERVICES

Parallel Perspective does not ordinarily provide refunds merely because a Client changes their mind, their circumstances change or they choose not to use all services available under an engagement.

Where an engagement ends early, any refund, credit, transfer, release from future instalments or other adjustment will be considered having regard to:

  • services already supplied

  • payment obligations already committed

  • reasonable costs already incurred

  • the circumstances leading to the change

  • the terms of the selected engagement

  • applicable law.

Nothing in these terms excludes, restricts or modifies any consumer guarantee, right or remedy that cannot lawfully be excluded under the Australian Consumer Law.

23. GIFT CERTIFICATES

Gift certificates may be purchased for eligible services offered by Parallel Perspective.

A gift certificate for a coaching session entitles the holder to the service specified on the certificate.

Gift certificates may be transferred to the intended recipient before redemption.

Unless a longer period is stated, gift certificates are valid for three years from the date of issue.

The applicable expiry date or validity period will be displayed with the gift certificate.

Gift certificates are subject to appointment availability and cannot be redeemed for cash except where required by law.

Once a gift certificate has been redeemed and an engagement has begun, the ordinary service, cancellation and rescheduling terms apply.

24. EVENTS OUTSIDE REASONABLE CONTROL

Neither party will be treated as failing to perform an obligation where performance is prevented or materially delayed by circumstances outside their reasonable control.

Where this affects a scheduled service, both parties will act reasonably to reschedule, adapt or otherwise address the affected service.

This clause does not limit any rights that cannot lawfully be excluded.

25. CHANGES TO AN ENGAGEMENT

Changes to scope, timing, deliverables, commercial terms or other material aspects of an engagement must be agreed in writing.

An email, accepted proposal or other written electronic communication is sufficient for this purpose.

Parallel Perspective may update these general Client Service Terms from time to time.

Changes will not retrospectively reduce rights already accrued under an existing engagement.

26. DIGITAL ACCEPTANCE

By completing checkout, accepting a proposal, selecting an agreement checkbox or otherwise instructing Parallel Perspective to commence services, you confirm that:

  • you have reviewed the selected service, inclusions, investment and payment arrangement

  • you have read and agree to these Client Service Terms

  • you have reviewed the Parallel Perspective Privacy Policy

  • where relevant, you understand the nature and boundaries of coaching

  • where you select a payment plan or recurring service, you authorise recurring charges in accordance with the amount, frequency and payment arrangement displayed at checkout or otherwise agreed

  • information you provide is accurate to the best of your knowledge.

Electronic acceptance has the same effect as signing these terms.

27. GOVERNING LAW

These terms are governed by the laws of New South Wales, Australia.

The parties submit to the courts and tribunals having jurisdiction in New South Wales, subject to any rights that apply under Australian Consumer Law or other applicable legislation.
